Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ("AdOne", "we", "us") and govern your use of the AdOne app and this website (together, the "Platform"). Please read them carefully.

The short version. AdOne helps advertisers and advertising-space owners connect and is not a party to any agreement between them. There are no online payments on the Platform — every financial transaction happens offline.

1. Acceptance of these terms

By creating an account, signing in, or otherwise accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy and the other policies referenced here (including our Acceptable Use Policy, Abuse Policy and Anti-Spam Policy). If you are using the Platform on behalf of a business, you represent that you are authorised to bind that business, and "you" includes that business. If you do not agree, do not use the Platform.

2. Definitions

3. Eligibility

The Platform is a business-to-business (B2B) service. By using it you represent that you are at least 18 years old, are using the Platform for genuine business purposes, and have the legal capacity and authority to enter into these Terms. AdOne is not intended for consumers or for any personal, non-business use.

4. Your account & OTP authentication

App accounts are created and secured using your mobile phone number and a one-time password (OTP) — there are no passwords. Your phone number is your identity on the Platform. You are responsible for:

  • Keeping control of the phone number and device linked to your account.
  • Every action taken under your account, since OTP sign-in authenticates the holder of the number.
  • Telling us promptly if you lose control of your number or suspect unauthorised access.

You must not share, sell or transfer your account, attempt to register a number you do not control, or attempt to circumvent our sign-in protections.

5. Acceptable use

You agree to use the Platform lawfully and in good faith. You must not, and must not help others to:

  • Post false, misleading, deceptive, infringing, obscene, defamatory or unlawful content.
  • List advertising space you do not own or have no right to list, or misrepresent its specifications, availability or price.
  • Harvest data, scrape, reverse-engineer, or attempt to extract space owners' precise locations or contact details before we share them.
  • Spam, harass, or send unsolicited bulk communications, or attempt to take deals or contact off-platform to bypass AdOne.
  • Interfere with, overload, probe or compromise the security or integrity of the Platform.

These rules are detailed further in our Acceptable Use Policy, Abuse Policy and Anti-Spam Policy. Breach may lead to content removal, suspension or termination under section 12.

6. Space owner obligations

As a space owner listing advertising space, you represent and agree that:

  • Right to list. You own, or are duly authorised to market and let, each space you list.
  • Accurate listings. All details — type, dimensions, location, availability and INR pricing — are true, current and not misleading.
  • Photo rules. Each listing carries real photographs of the actual space. Photos only — no other file types. You must hold the rights to every image you upload.
  • Prohibited content. No stock, stolen, watermarked or misrepresentative images; no listings for space that does not exist, is not available, or that you are not entitled to offer.

We may review, edit or decline any listing before it is published.

7. Advertiser obligations

As an advertiser, you represent and agree that:

  • You raise inquiries in good faith with a genuine intention to advertise, and the campaign information you provide is accurate.
  • You will treat any precise location, address or contact details disclosed to you as confidential to that inquiry, and will not redistribute them or use them for any other purpose.
  • You will not attempt to identify or contact space owners outside the Platform to bypass AdOne.
  • Your advertising content and conduct comply with applicable law and the standards in our Acceptable Use Policy.

To protect both sides, we limit who can see precise location and contact details and share them only when needed to help a deal. There is no direct contact between space owners and advertisers in the app.

8. AdOne's role as intermediary

AdOne is an intermediary that helps advertisers and advertising-space owners connect and is not a party to any agreement between them. This means:

  • We are not a party to the advertising contract that a space owner and an advertiser may reach. That contract is solely between them; AdOne does not own, control, guarantee or warrant any space, campaign or outcome.
  • Deals close offline. Negotiation, terms, scheduling and settlement happen between the parties, with AdOne helping to facilitate the deal — never through any in-app checkout.
  • No online payments. The Platform does not process payments, hold funds, or charge in-app fees in this version. See section 9 and our Refund Policy.
  • We provide the Platform as a service. We do not act as an agent, employee or representative of either party except as expressly stated.

Because AdOne is not a party to your deal, any dispute about the advertising itself — delivery, quality, timing or payment of advertising spend — is between the space owner and the advertiser under their own agreement.

9. Pricing & payments

Listing prices are set by space owners and shown in Indian Rupees (INR). All financial transactions happen offline directly between the transacting parties. The Platform has no checkout and processes no card or online payment of any kind. Any service fee that AdOne may charge is agreed and billed separately, offline. Applicable taxes (including GST) on advertising spend are the responsibility of the transacting parties. For how this affects refunds, see our Refund Policy.

10. Content & intellectual-property licence

You retain ownership of the content you submit. By uploading listing photos and details, space owners grant AdOne a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, resize, adapt (for example, to create thumbnails) and display that content within the Platform and in connection with promoting the listing and the Platform, for as long as the listing is active and as needed for our records. You confirm you hold all rights necessary to grant this licence.

The AdOne name, logo, software and design are our intellectual property. Nothing in these Terms transfers any of our rights to you. If you believe content on the Platform infringes your rights, use our IPR Complaints process; for trademark concerns see our Trademark Policy.

11. Ratings & feedback

Where the Platform allows ratings or feedback, you agree to provide them honestly and based on genuine experience. You must not post fake, incentivised, retaliatory or misleading ratings. We may moderate, withhold or remove ratings and feedback that breach these Terms or our content policies, and we may use aggregate, de-identified feedback to improve the service.

12. Suspension & termination

We may suspend, restrict or terminate your access — and remove listings, inquiries or content — at our reasonable discretion, including where we believe you have breached these Terms or our policies, created risk to other users or to AdOne, or where required by law. Where practical and lawful, we will give notice and a chance to address the issue. You may stop using the Platform at any time and may delete your account as described in section 13.

13. Account deletion

You can permanently delete your account from inside the AdOne app (Profile › Delete account) or via our secure web flow. Deletion erases your personal details, takes down spaces you've listed, closes open inquiries, frees your phone number, and may retain some de-identified records for legal, tax, accounting and audit purposes. 14. Disclaimers

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that listings are accurate, that advertising space is available or suitable, that deals will complete, or that the Platform will be uninterrupted or error-free. We are not responsible for the conduct, content, solvency or performance of any space owner or advertiser, or for any agreement reached between them.

15. Limitation of liability

To the maximum extent permitted by applicable law, AdOne and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of the Platform or any deal between users. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

16. Indemnification

You agree to indemnify and hold harmless AdOne and its officers, employees and partners from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your content, your use or misuse of the Platform, your breach of these Terms or any law, your infringement of any third party's rights, or any dispute between you and another user.

17. Governing law & jurisdiction

These Terms are governed by the laws of India. Subject to the grievance process in section 18, the courts at have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Platform.

18. Grievance redressal

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we have appointed a Grievance Officer to receive and resolve complaints about content or your use of the Platform.

We will acknowledge a complaint within 24 hours of receipt and aim to resolve it within 15 days, or sooner where the Rules require (for example, certain takedown requests). See our Grievance Redressal page for details.

19. Changes to these terms

We may update these Terms from time to time. Material changes will be notified in-app or by email where appropriate, and the "Last updated" date above will change. Continuing to use the Platform after an update means you accept the revised Terms.
